Acceptance of Terms
These Terms of Service govern access to and use of the Carvia website, platform, and related services (together, the "Services"). By creating an account, accessing the Services, or using the Services, you agree to be bound by these Terms.
If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.
Service Description
Carvia provides software tools for vehicle-focused business workflows, including inventory management, AI-assisted content generation, image enhancement, publishing support, analytics, and related workspace features.
Some features may depend on third-party services, connected accounts, or specific subscription plans. We may improve, replace, suspend, or discontinue features where reasonably necessary for business, operational, legal, or security reasons.
Accounts and Access
- You must provide accurate and current account information.
- You are responsible for keeping login credentials confidential.
- You must notify us promptly at [email protected] if you suspect unauthorized access.
- You are responsible for activity carried out through your account or workspace, except where caused by our own breach of duty.
- You must be legally capable of entering into a binding agreement under applicable law.
Billing and Subscriptions
Paid features may be offered on recurring monthly or annual plans, usage-based billing, token-based packages, or other commercial terms presented at the point of purchase.
- Renewal: paid subscriptions may renew automatically unless cancelled before the next billing date.
- Pricing: current pricing, limits, and included usage are shown in the product or order flow.
- Taxes: prices may be shown exclusive or inclusive of VAT or other taxes, depending on the applicable billing flow and legal requirements.
- Changes: we may change prices or plan structure with prior notice where required by law.
- Refunds: refunds are handled according to the applicable order terms and mandatory consumer or commercial law.
Acceptable Use
You agree not to use the Services to:
- violate applicable law, third-party rights, or contractual restrictions;
- upload unlawful, infringing, misleading, defamatory, or malicious content;
- interfere with the integrity, security, or operation of the Services;
- attempt to gain unauthorized access to accounts, systems, or data;
- reverse engineer or misuse the platform except where non-waivable law expressly allows it;
- use AI outputs as a substitute for mandatory human review where accuracy, legality, safety, or compliance matters.
Customer Content
You retain rights to the content, files, images, prompts, and business records you upload or create in the Services ("Customer Content"). You grant us the limited rights necessary to host, process, reproduce, adapt, and transmit that content solely to operate, secure, support, and improve the Services for you.
You are responsible for ensuring that you have the necessary rights and legal basis to upload Customer Content, including vehicle photos, personal data, logos, and third-party materials.
AI Features Disclaimer
Some Carvia features use AI-assisted processing to generate captions, descriptions, visual edits, recommendations, or other outputs. AI-assisted outputs may contain inaccuracies, outdated information, unusual image details, unexpected additions, omissions, stylistic artifacts, or content that is not suitable for a particular commercial, legal, or advertising purpose.
You must review all AI-assisted outputs before publishing, sharing, relying on them for business decisions, or presenting them to customers. Carvia does not guarantee that AI-assisted outputs are accurate, complete, lawful, non-infringing, or fit for a particular purpose.
Where AI-generated or AI-edited images are used, you remain responsible for verifying that the published media accurately represents the vehicle or other subject matter and does not contain misleading visual alterations.
Availability and Changes
We aim to keep the Services available and secure, but uninterrupted availability is not guaranteed. Maintenance, updates, third-party failures, force majeure events, or security incidents may affect access from time to time.
We may modify the Services where needed to maintain security, comply with law, improve functionality, or adapt to technical and business requirements.
Termination
You may stop using the Services at any time. We may suspend or terminate access where reasonably necessary, including for non-payment, legal risk, abuse, material breach of these Terms, or security concerns.
On termination, your right to access the Services ends, subject to any post-termination export or retention rights available under your plan, contract, or applicable law.
Liability and Warranties
The Services are provided on an "as available" basis. To the maximum extent permitted by applicable law, we exclude implied warranties that can lawfully be excluded, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by applicable law, including liability for fraud, willful misconduct, death or personal injury caused by negligence, or other non-excludable rights.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or purely economic loss, including loss of profit, loss of business opportunity, loss of data, or reputational harm arising from use of the Services. This limitation does not apply where prohibited by mandatory law.
Applicable Law
These Terms are governed by the laws applicable in Slovenia, excluding conflict-of-law rules to the extent permitted. The courts having jurisdiction in Slovenia shall have jurisdiction over disputes unless mandatory law requires otherwise.
If mandatory consumer or local law grants you rights or forum protections that cannot be waived, those rights remain unaffected.
